These Terms of Service ("Terms") govern your use of moodyboards.ai (the "Service") operated by Rectangle Circle Inc. ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you are at least 13 years old (or 16 in the EEA) and agree to comply with these Terms. If you do not agree to these Terms, you may not use the Service.
2. Description of Service
moodyboards.ai is an AI-powered moodboard and image generation tool. The Service uses artificial intelligence (currently Google's Gemini) to create images based on text prompts and brand settings you provide.
Important: All images are generated by AI and may not be perfect, accurate, or exactly as described. AI systems can produce unexpected, inconsistent, or incorrect results. You are responsible for reviewing all AI-generated content before use.
3. User Accounts
To use certain features, you must create an account. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription and Payments
Pricing:
- Free tier: 1 moodboard + 3 single images + 3 AI editor credits (one-time, no credit card required)
- Pro Monthly: $12/month - Up to 16 moodboards or 15 single images per month
- Pro Yearly: $96/year - Up to 16 moodboards or 15 single images per month (save 33%)
- Moodboard Pack: $8 one-time - 5 bonus moodboards (never expire)
- Image Credit Pack: $8 one-time - 5 bonus credits for single images & edits (never expire)
Billing: Subscriptions are billed in advance on a recurring basis. Your subscription will automatically renew unless you cancel before the renewal date.
Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to Pro features until the end of your current billing period. No partial refunds will be issued for unused time.
Refunds: All payments are non-refundable. We do not provide refunds for subscription fees, credit pack purchases, or any other charges. This includes situations where AI-generated content does not meet your expectations.
Price Changes: We may change our prices at any time. Price changes will take effect at the start of your next billing cycle, and we will notify you in advance.
5. AI-Generated Content: Ownership and Rights
Your Rights to Generated Content: Subject to these Terms and your compliance with them, you may use images generated through the Service for personal and commercial purposes.
Important Legal Considerations:
- Copyright Uncertainty: Under current U.S. law, AI-generated images without significant human creative input may not be eligible for copyright protection. You use generated images at your own risk regarding intellectual property claims.
- No Exclusivity: AI systems may generate similar or identical images for different users based on similar prompts. We do not guarantee that your generated images are unique.
- Third-Party Rights: AI-generated images may unintentionally resemble existing copyrighted works, trademarks, or real people. You are solely responsible for ensuring your use of generated content does not infringe on third-party rights.
License to Us: You grant us a non-exclusive, worldwide license to store, display, and process your inputs and outputs solely to provide and improve the Service.
Your Uploads: If you upload logos, reference images, or brand assets, you represent and warrant that you have all necessary rights to use them. You are solely responsible for any intellectual property claims related to content you upload.
6. AI Limitations and Your Responsibilities
AI Is Not Perfect: You acknowledge and agree that:
- AI-generated content may contain errors, inaccuracies, biases, or unexpected results
- Generated images may not match your prompts or expectations
- AI may occasionally produce content that is inappropriate despite our safety measures
- The quality, style, and accuracy of outputs can vary
Human Review Required: You are responsible for reviewing all AI-generated content before using it. Do not use AI-generated content in situations where errors could cause harm, financial loss, or legal liability without thorough human review.
No Professional Advice: AI-generated content is not a substitute for professional design, legal, medical, financial, or other expert advice.
7. Acceptable Use Policy
You agree not to use the Service to:
- Generate illegal, harmful, abusive, hateful, or threatening content
- Create content that infringes on intellectual property rights
- Generate explicit, pornographic, or sexually suggestive content
- Create deepfakes, synthetic media of real people without consent, or content intended to deceive
- Generate content depicting minors in any inappropriate context
- Create content promoting violence, terrorism, or illegal activities
- Harass, defame, or invade the privacy of others
- Generate misinformation or disinformation intended to mislead
- Attempt to bypass safety filters, usage limits, or content moderation
- Reverse engineer, decompile, or attempt to extract our source code or AI models
- Use automated systems, bots, or scripts to access the Service without permission
- Resell, redistribute, or provide the Service to third parties
Content Moderation: We may use automated and manual review to detect violations. We reserve the right to remove content, suspend accounts, and report illegal activity to authorities without notice.
8. Intellectual Property
The Service, including its design, features, code, and underlying technology, is owned by Rectangle Circle Inc. and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SPECIFICALLY REGARDING AI-GENERATED CONTENT, WE MAKE NO WARRANTIES THAT: (A) OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE; (B) OUTPUTS WILL BE FREE FROM BIAS OR ERRORS; (C) OUTPUTS WILL BE SUITABLE FOR YOUR INTENDED PURPOSE; (D) OUTPUTS WILL NOT INFRINGE THIRD-PARTY RIGHTS; OR (E) THE SERVICE WILL MEET YOUR EXPECTATIONS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECTANGLE CIRCLE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, REPUTATION, OR GOODWILL, ARISING FROM:
- YOUR USE OF OR INABILITY TO USE THE SERVICE
- ANY AI-GENERATED CONTENT OR YOUR RELIANCE ON IT
- ERRORS, INACCURACIES, OR BIASES IN AI OUTPUTS
- INTELLECTUAL PROPERTY CLAIMS RELATED TO GENERATED CONTENT
- ANY THIRD-PARTY CONDUCT OR CONTENT
OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Rectangle Circle Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your content or AI-generated content you use; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) any claim that your use of generated content infringes intellectual property rights.
12. Dispute Resolution
Governing Law: These Terms are governed by the laws of the State of California without regard to conflict of law principles.
Informal Resolution: Before filing any legal claim, you agree to try to resolve the dispute informally by contacting us. We will try to resolve the dispute informally within 60 days.
Jurisdiction: Any disputes not resolved informally shall be resolved in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page, updating the "Last updated" date, and/or sending you an email. Your continued use of the Service after changes constitutes acceptance of the new Terms.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 5, 6, 9, 10, 11, and 12 survive termination.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rectangle Circle Inc. regarding the Service.
